These Terms of Service (“Terms”) are offered to you by DeepGen Pte. Ltd. and its affiliates (“DeepGen”) and govern your use as a visitor to https://deepgenai.co and/ or user of other websites/ applications/ platforms (including the Memo web application, any social media sites, and application store pages) managed by DeepGen that reference the Terms (jointly referred to as the “DeepGen Sites”). Please read these Terms carefully. By using, accessing and/ or visiting the DeepGen Sites, you accept and agree to these Terms. If you do not accept and agree to the Terms, you shall immediately stop using, accessing and/ or visiting the DeepGen Sites. Please also carefully read DeepGen’s Privacy Policy. By agreeing to these Terms, you also agree to and accept our Privacy Policy.
1. Modifications
DeepGen reserves the right to update and change the Terms from time to time without notice. Any new features that update the DeepGen Sites, including the release of new tools and resources, shall be subject to the Terms. Continued access and/ or use of the DeepGen Sites following any amendments to these terms shall constitute your consent to such changes.
2. Access and use of DeepGen Sites
You shall access and use the DeepGen Sites only for lawful purposes. To access and use the DeepGen Sites, you shall be: (a) at least 18 years old; and (b) legally able to enter into contracts. You agree that you shall not use the DeepGen Sites:
a. In any way that breaches any applicable law, regulation or code of practice;
b. In any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect;
c. For the purpose of harming or attempting to harm minors in any way;
d. To send, knowingly receive, upload, download, use or re-use any material which:
i) Is defamatory, obscene, hateful, discriminatory or inflammatory;
ii) Promotes violence, discrimination or illegal activity;
iii) or Infringes any intellectual property rights, right of confidentiality or right to privacy;
e. To transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (i.e. spam);
f. To generate and/ or cause congestion to our network traffic in excess of reasonable and normal usage;
g. To cause any disruption, interference, interruption or degradation in our network and/ or the DeepGen Sites; or
h. To knowingly transmit any data, send or upload any material that contains any viruses, trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other technologically harmful programs, data or code.
For subscribers to the DeepGen Sites, provided that you adhere to the Terms and only for the duration of your subscription, you have a restricted privilege to utilize and access the DeepGen Sites according to the service plan(s) you have subscribed to, exclusively for your business purposes. Additionally, your access to the DeepGen Sites is bound by DeepGen’s Client Agreement that may be updated periodically, and is non-transferable, non-exclusive, revocable and limited.
3. Intellectual property rights
3.1 Your Content
DeepGen claims no intellectual property rights over the material and content, hereby defined as (“Your Content”) you provide to the DeepGen Sites.
3.2 DeepGen’s Rights
You acknowledge that DeepGen owns and retains all rights, title and interest, including intellectual property rights, in the DeepGen Sites (excluding Your Content). This includes all technology, software, algorithms, user interfaces, trade secrets, techniques, designs, inventions, works of authorship, and other tangible and intangible material and information related to or included in the DeepGen Sites. Nothing in the Terms and Client Agreement will prevent or limit DeepGen from using any concepts, ideas, techniques, or know-how related to the DeepGen Sites or arising from DeepGen’s performance under the Client Agreement. Except as explicitly stated in the Client Agreement, you shall not receive any licences or rights to the DeepGen Sites, and all such rights are reserved by DeepGen. The content available on the DeepGen Sites shall not be reproduced, transmitted, published, performed, broadcast, stored, adapted, distributed, displayed, licensed, altered, hyperlinked or otherwise used in whole or in part in any manner without the prior written consent of DeepGen. You shall not, without the prior written consent of DeepGen, insert a hyperlink to the DeepGen Sites (or any part thereof) on any other platform or “mirror” or frame any content available on the DeepGen Sites on any other server or platform. If you provide feedback or suggestions regarding the DeepGen Sites, you grant DeepGen a non-exclusive, worldwide, royalty-free, and irrevocable license to use such feedback without further obligation to you.
4. Use of personal data
Whenever you submit information about yourself via the DeepGen Sites, you unambiguously consent to the collection, use, and disclosure of Your Content in accordance with DeepGen’s Privacy Policy.
5. Disclaimer
Your use of the DeepGen Sites and all content thereon is and shall be at your sole risk. You and your authorised users are solely responsible for maintaining the confidentiality of all login credentials for your account. The DeepGen Sites and all contents thereon are provided “as is” and without express or implied warranty of any kind. To the maximum extent permitted by the applicable law, DeepGen and their respective officers, directors, employees and agents disclaim all warranties, express or implied, with respect to the DeepGen Sites, all contents thereon, and support services, including but not limited to all implied warranties of merchantability, fitness for a particular purpose, non-infringement and title, loss of data, or accuracy of results. DeepGen makes no warranty as to the accuracy or completeness of the contents of the DeepGen Sites or of sites linked to the DeepGen Sites, and does not endorse or assume responsibility for any product or service advertised by a third party through the DeepGen Sites or any hyperlinked websites.
DeepGen assumes no liability or responsibility for any loss or damage caused by: (i) the use of the DeepGen Sites; or (ii) any loss or damage incurred that results from the use of any content made available in any way through the DeepGen Sites, including, in each case and without limitation, as a result of any failure of performance, error, omission, interruption, deletion, defect, delay or error in operation or transmission, communication line failure, theft or destruction or unauthorised access to, alteration of or use of the DeepGen Sites, any bugs, viruses, or other malware that may be transmitted to or through the DeepGen Sites, or for any errors, mistakes or inaccuracies in content.
You are solely responsible for Your Content, including any data or information used to generate results and run services and products on the DeepGen Sites, and DeepGen shall have no liability for decisions based on any results returned from the DeepGen Sites.
6. Governing law and jurisdiction
You agree that the laws of Singapore, without regard to principles of conflict of laws, shall govern both these Terms and any dispute that might arise between you and DeepGen in relation to your use of the DeepGen Site and these Terms.
You also agree that any disputes shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules") for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of the arbitration shall be Singapore. The Tribunal shall consist of one arbitrator. The language of the arbitration shall be English. To the fullest extent permitted by applicable law, no arbitration under these Terms shall be joined to an arbitration involving any other party subject to these Terms, whether through class arbitration proceedings or otherwise.
7. Entire agreement
These Terms, the Client Agreement and other legal notices published by DeepGen on the DeepGen Sites applicable to an activity you engage in shall constitute the entire agreement between you and DeepGen concerning the DeepGen Sites. They shall supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
8. Severability
In the event that any of the provisions of these Terms shall be deemed invalid, void, or for any reason unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of any of the remaining provisions of these Terms, which shall continue in full force and effect.
9. No waiver
No waiver shall be deemed a further or continuing waiver, and DeepGen’s failure to assert any right under these Terms shall not constitute a waiver of such right. You agree that any cause of action arising out of or relating to the DeepGen Sites must commence within one (1) year after the cause of action arises, and otherwise is permanently barred.
10. Assignment
You shall not assign or transfer these Terms, but DeepGen may assign these Terms without restriction.
11. Indemnification
You agree to indemnify, defend and hold DeepGen, its affiliates, officers, directors, employees and agents harmless from and against any loss, cost, damages, liability and expense arising out of or relating to your use of the DeepGen Sites and/or any action by you which violates any law, regulation or rights of a third party.
12. Limitation of Liability
To the maximum extent permitted by applicable law, DeepGen shall not be held responsible for any indirect, special, incidental, exemplary, punitive, or consequential damages caused by or related to these Terms, based on any theory of liability, including breach of contract or tort, and regardless of whether a party has been informed of the possibility of such damages. However, DeepGen does not seek to exclude or limit liability for gross negligence, fraud, or wilful misconduct.
13. Links to third party websites
The DeepGen Sites may contain links to third-party websites. You acknowledge and agree that DeepGen does not control such websites and is not responsible for their contents or policies, and that the links are provided for convenience and do not represent an endorsement by DeepGen of the third-party websites. If you access such websites via the links, you do so at your own risk.
14. Termination
Without prior notice, DeepGen may terminate your access to the DeepGen Sites and/or your user account if you violate or breach these Terms or for any other reason, including DeepGen’s discontinuance of the DeepGen Sites.
15. General Provisions
15.1 Relationship of the Parties
The relationship between the Parties is that of independent contractors. Nothing contained in these Terms will be construed as creating any agency, partnership, joint venture or other form of joint enterprise or employment relationship between the Parties, and neither Party will have authority to contract for or bind the other Party in any manner whatsoever.
15.2 Modifications
You shall not modify, adapt or hack the service or modify another website so as to falsely imply that it is associated with the service, site or any parts of DeepGen Sites. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the DeepGen Sites, use of the Service, or access to the Service without the express written permission by DeepGen. You must not transmit any malware, worms, viruses or any code of a destructive nature.
15.3 Transmission of Data
You acknowledge that the technical handling and conveyance of the Service, which includes the transmission of your Content, may occur without encryption and could involve (a) transmissions across multiple networks and (b) modifications made to conform and adjust to the technical demands of linking networks or devices.
15.4 Saving Data
DeepGen saves your data which goes through its platform to provide you fast and better service. By agreeing to Terms of Service, you are agreeing that you do not have any issue with DeepGen saving your data. DeepGen will ensure the safety and security of your data.
